AGREEMENT PARTIES:
1. Prestige World Holding (Mayfair, London · Geneva · Monaco) — Protocol Operator.
2. Certified PSPN Operator (ID: PSPN-LIVE) — Operating Partner.
§1. EXCLUSIVITY & NON-CIRCUMVENTION PROTOCOL:
The parties mutually agree to a strict 24-month non-circumvention term prohibiting direct solicitation or contracting of principals, family offices, and capital fiduciaries introduced through the Prestige World ecosystem. All bookings, charter extensions, and secondary transactions are subject to exclusive fiduciary clearing through Prestige World Escrow.
§2. COMMISSION STRUCTURE & MARGIN SHIELD:
The negotiated Holding brokerage commission rate is set at 15% of the gross charter/allocation valuation. The Operator covenants to preserve strict confidentiality regarding wholesale rates (Net-to-Operator). End clients receive solely the fiduciary settled valuation inclusive of embedded margin.
§3. LIQUIDATED DAMAGES & DISPUTE JURISDICTION:
Breach of the non-circumvention covenant triggers immediate liquidated damages equal to 200% of gross transaction valuation. Exclusive dispute jurisdiction is vested with the London Court of International Arbitration (LCIA) in London under English Law.
§4. GENEVA WHITE-GLOVE VIP PROTOCOL:
Cabin personnel, flight crew, and operations officers shall strictly adhere to neutral Sovereign Protocol standards (zero external third-party branding or marketing collateral).
